Terms of Use (End User Licence Agreement)

These Terms of Use are the end user licence agreement for Halo Care (https://halo-care.uk), a children’s residential care management service operated by Ilea Palm Care Ltd (company number 12095758), Shrewsbury, Shropshire, United Kingdom (“we”, “us”). By accessing or using the service you agree to these terms. If you use the service for an organisation, you confirm you are authorised to bind that organisation.
This is working contract text and may be refined. The version published at this URL is the current public statement. A signed order or data processing agreement, if we have one with you, prevails if it conflicts with these terms.
1. The service
Halo Care provides software tools for care management, staffing, recruitment, training, compliance, and related finance views. Features may change as we develop the product. We do not provide legal, clinical, or accounting advice. You remain responsible for regulatory compliance of your care service, including Ofsted and local-authority duties.
2. Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access Halo Care for your organisation’s internal business purposes, for the term of your subscription or permitted trial. You must not copy, modify, reverse engineer, resell, or provide the service to third parties except as we agree in writing, or use it to build a competing product.
3. Accounts and acceptable use
- Keep login details confidential and enable two-factor authentication where offered.
- Only give access to people who are entitled to see the records they can reach.
- Do not attempt to bypass security, scan the service for vulnerabilities without our written permission, or overload the platform.
- Do not upload unlawful content or use the service for anything other than legitimate care-management and related business purposes.
We may suspend an account if we reasonably believe these terms, the law, or another user’s safety is at risk.
4. Customer data and care records
You (or your organisation) own the records you enter. You licence us to host, process, back up, and display that data solely to provide Halo Care. Care and staff data can be sensitive. You must have a lawful basis to record it and must configure access so that only appropriate staff can see it.
How we handle personal data is described in our Privacy Policy. Where we process personal data on your instructions we act as processor and you act as controller, unless UK law says otherwise.
5. Third-party services
Optional connections (including Intuit QuickBooks Online and other finance or document tools) are provided by those vendors under their own terms. You authorise us to exchange the data needed for a connection you enable. We are not responsible for a third party’s availability, accuracy, or change of API. Disconnecting an integration in Halo Care or in the vendor’s console stops further sync from our side; it does not delete data already stored in the third-party system.
6. Confidentiality and safeguarding
Each party must keep the other’s confidential information secure. Nothing in these terms prevents a disclosure required by law, a regulator, or a safeguarding duty. You must not use Halo Care in a way that puts a child or vulnerable person at avoidable risk.
7. Intellectual property
We and our licensors own Halo Care, including software, design, and documentation. These terms do not transfer any intellectual property to you except the licence in section 2. Feedback you give us may be used to improve the product without obligation to you.
8. Availability and warranty
We aim to keep the service available but do not warrant uninterrupted or error-free operation. The service is provided “as is” and “as available” to the extent permitted by law. We do not warrant that it will meet every regulatory inspection requirement on its own.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under the law of England and Wales. Subject to that, we are not liable for indirect or consequential loss, loss of profit, or loss of data except to the extent we fail to take reasonable technical steps we have committed to, and our total liability in any 12-month period is limited to the fees you paid us for Halo Care in that period (or £1,000 if you have paid no fees).
10. Term and termination
These terms apply from your first access until your account is closed. You may stop using the service at any time. We may end or suspend access if you materially breach these terms and (where reasonable) fail to remedy the breach, or if we withdraw the product. After closure we will delete or return customer data in line with the Privacy Policy and any written agreement, except records we must keep by law.
11. Changes
We may update these terms by publishing a new version at this URL. Continued use after the “Last updated” date is acceptance of the revised terms. If a change is material and you have a paid agreement, we will use a reasonable contact we have on file.
12. Governing law
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
